Course outline
Module 1 — The Role
- 1.1
What an HOA board actually does
8 minGovernance vs. management — and why mixing them is the #1 source of conflict.
Preview lesson
Boards govern. Managers manage. The board sets policy and protects the community's long-term interests; the manager carries out the day-to-day work.
When boards start picking paint colors and managers start setting policy, communities suffer. Knowing your lane is the first step.
- 1.2
Fiduciary duty in plain language
10 minDuty of care, duty of loyalty, business judgment rule — without the law-school version.
Preview lesson
Fiduciary duty isn't a courtroom concept reserved for lawyers. It's a daily filter: 'Am I acting in the community's best interest, or my own?'
If you can answer yes, document why, and follow your governing documents — you're protected by the business judgment rule in most states.
Module 2 — The Documents
- 2.1
CC&Rs, bylaws, rules — the hierarchy
9 minWhich document wins when they conflict, and how to find out fast.
Preview lesson
State law beats CC&Rs. CC&Rs beat bylaws. Bylaws beat rules and resolutions. Get this order wrong and you'll lose in court.
Print the first page of each. Tape them inside the cover of your board binder. You'll reference them more than you think.
- 2.2
Reading reserves and budgets
12 minReserve studies, percent-funded, and the early warning signs of a special assessment.
Preview lesson
Anything below 70% funded should make you ask hard questions. Below 30% and you're in special-assessment territory whether the board admits it or not.
Ask for the reserve study every year. If you don't have one, that's lesson one.
Module 3 — The People
- 3.1
Running a clean meeting
11 minAgendas, quorum, executive session, minutes — the four things that keep you legal.
Preview lesson
A good meeting starts with a published agenda and ends with minutes that match it. Everything in between is just discussion.
Use executive session sparingly. Homeowners notice when 'private discussion' becomes the default.
- 3.2
Working with your property manager
10 minWhat to delegate, what to keep, and how to give feedback that improves performance.
Preview lesson
Your manager is not your employee — they're a contracted partner. Treat them like one and you'll get better work.
Set quarterly check-ins, not constant texts. Document expectations in writing once, instead of correcting in the moment ten times.
- 3.3
Responding to angry homeowners
12 minDe-escalation scripts that work even when you're tired and they're not wrong.
Preview lesson
Most angry homeowners want to be heard before they want to be right. Lead with acknowledgment, not justification.
If a complaint is valid, say so out loud. If it's not, explain the rule — calmly, in writing, and with the document attached.
Module 4 — Avoiding Trouble
- 4.1
The 7 rookie mistakes
13 minFrom promising things in the parking lot to selective enforcement — and how to recover.
Preview lesson
Promising in private what the board hasn't voted on is the fastest way to lose trust. Selective enforcement is the fastest way to lose in court.
Both are recoverable — if you stop, document, and reset expectations early.
- 4.2
When to call the attorney
10 minThree situations where a $400 phone call saves a $40,000 lawsuit.
Preview lesson
Call when: someone threatens litigation, when you're about to enforce a fine over $1,000, or when a covenant is being interpreted for the first time.
Don't call to settle a fence dispute. That's what mediation is for.
